En esta teoria se asume que los directivos (agentes) en ambos tipos de empresa (publica y privada) buscan la maximizaci\u00f3n de su utilidad, y no la de la organizaci\u00f3n o sus propietarios (principales). en las empresas privadas esta divergencia de intereses se reduce a trav\u00e9s de mecanismos externos (tales como el mercado laboral, mercado de capital y el control corporativo) e internos (como la participaci\u00f3n de los directivos en la propiedad de la empresa, los sistemas de recompensas y los consejos de administracion).  en la empresa p\u00fablica, sin embargo, estos mecanismos est\u00e1n ausentes. Adem\u00e1s, la relaci\u00f3n propietario-directivo se encuentra dividida a su vez en otras dos relaciones de agencia(el p\u00fablico como propietario-pol\u00edticos, y los pol\u00edticos-directivos)
