Dolores <\/strong><\/h2>\n<p>Los conflictos de intereses entre accionistas y directivos originados a ra\u00edz de la operaci\u00f3n entre propiedad y direcci\u00f3n hace necesario la implantaci\u00f3n de mecanismos de control. En la gran sociedad cotizada existen dos tipos:  a) los mecanismos de control interno, fundamentados en la junta de accionistas y en el consejo de administraci\u00f3n.  b) los mecanismos de control externo, constitu\u00eddos por el mercado de control, el mercado de bienes y servicios, el mercado laboral, el sistema legislativo y jurisprudencial y la auditor\u00eda externa.  pese a que la relevancia de cada tipo es funci\u00f3n de las peculiaridades de los pa\u00edses, en estos \u00faltimos a\u00f1os, el funcionamiento del consejo de administraci\u00f3n ha sido un tema muy debatido en todos los pa\u00edses industrializados.  entre los medios a disposici\u00f3n del consejo de administraci\u00f3n para orientar las actuaciones de la alta direcci\u00f3n a la creaci\u00f3n de valor se encuentra el sistema de retribuci\u00f3n.
