Primera, una revisi\u00f3n cr\u00edtica y exhaustiva de la literatura te\u00f3rica y emp\u00edrica sobre la relaci\u00f3n entre la privatizaci\u00f3n y la eficiencia. Dicha revisi\u00f3n pone de manifiesto que (1) los efectos positivos de la privatizaci\u00f3n(o de la propiedad privada) sobre la eficiencia empresarial que predicen las teor\u00edas existentes -agencia, derechos de propiedad, elecci\u00f3n p\u00fablica y direcci\u00f3n y organizaci\u00f3n de la empresa p\u00fablica-no siempre se observan en la pr\u00e1ctica; y (2) los trabajos anteriores han seguido un enfoque de \u00abcaja negra\u00bb, ignorando el proceso din\u00e1mico de cambio interno que la empresa privatizada debe atravesar hasta llegar al aumento de eficiencia previsto.
